iPhone iOS 5 Update

I can only update 4.2 to my iPhone 3. I have 2 iPhones one is iPhone 4 and other one is iPhone 3. I can not update new version iOS 5 for my iPhone 3. iPhone 4 I can update iOS5 but only iPhone 3 I can not update.Please help me.

The newest Version for the iphone 3G is 4.2.1
